Terms of Service

By creating an account or using Stndby, you agree to these Terms of Service. If you do not agree, do not use the app. These terms form a binding agreement between you and Stndby (based in Newbury, MA).

If you are using Stndby on behalf of a business or production company, you are agreeing to these terms on that organization's behalf, and you represent that you have authority to do so.

You must be at least 13 years old to use Stndby. If you are under 18, you must have permission from a parent or legal guardian.

Stndby is a professional tool designed for event production and crew management. It is intended for business use. By using it, you represent that you are using it for lawful professional purposes.

To use Stndby, you create an account with your phone number. We verify your identity by sending you a one-time SMS code. You are responsible for keeping your account secure and for all activity that happens under your account.

Do not share your account with others or let anyone else use it. If you suspect unauthorized access, contact us at hello@askstndby.com.

You can delete your account at any time through the Settings screen in the app. Deletion is permanent and removes your account data in accordance with our Privacy Policy.

Stndby is a B2B mobile app for event production crew management. It lets event owners create events, upload documents, invite crew members, send alerts, and use an AI assistant powered by Google Gemini.

Crew members join events via invite code at no cost. Event owners pay a per-event fee (see Section 5).

We do our best to keep the service running reliably, but we do not guarantee uptime, availability, or that the service will be error-free.

Event owners pay a per-event fee to create events. Payments are processed securely by Stripe. By providing payment information, you agree to Stripe's terms of service.

Refund window — You may request a full refund within 24 hours of purchasing an event, provided no crew members have been added to the event beyond the owner. After that window, or once any crew has been added, the purchase is non-refundable.

Coupons — We may offer coupon codes that reduce or eliminate the per-event fee, including first-event-free promotions. Coupon terms are stated at the time of redemption.

To request a refund within the eligible window, contact hello@askstndby.com.

You retain ownership of the documents and other content you upload to Stndby (call sheets, PDFs, spreadsheets, and similar files).

By uploading content, you grant Stndby a limited license to store, process, and use that content to provide the service to you — including indexing it for the AI assistant. We do not claim ownership of your content and do not use it for any purpose beyond operating and improving the service.

You are responsible for the content you upload. Do not upload content you do not have the right to share, content that is confidential without authorization, or anything that violates applicable law.

Stndby includes an AI assistant powered by Google Gemini. When you ask the assistant a question, your question and relevant content from your uploaded documents are sent to Google to generate a response.

The AI assistant is a productivity tool, not a professional advisor. Responses may be incomplete or incorrect. Do not rely on AI responses as a substitute for professional judgment — verify anything that matters.

By using the AI assistant, you acknowledge that your questions and document content are processed by Google in accordance with Google's terms and privacy policies.

You agree not to use Stndby to:

- Upload or share illegal content or content that infringes someone else's intellectual property - Harass, threaten, or harm other users - Impersonate another person or misrepresent your affiliation - Use the service for any unlawful purpose - Attempt to reverse engineer, decompile, or extract the source code of the app - Scrape, crawl, or use automated tools to access the service - Interfere with or disrupt the service or its infrastructure - Attempt to gain unauthorized access to any part of the service or another user's account - Resell or sublicense access to the service without our written permission

We reserve the right to suspend or terminate accounts that violate these terms.

Stndby owns the app, its design, branding, source code, and all content we create. Nothing in these terms transfers any of that ownership to you.

You own your content (see Section 6). Nothing in these terms transfers ownership of your content to us.

You may stop using Stndby and delete your account at any time through the Settings screen.

We may suspend or terminate your account if you violate these terms, engage in fraudulent or abusive behavior, or for any other reason at our discretion. We will try to give notice when practical, but are not required to do so.

If your account is terminated for a violation, you are not entitled to a refund for any fees paid.

Stndby is provided as-is and as-available. We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the service will always be available, uninterrupted, or free from errors or data loss. Use the service at your own risk and maintain your own backups of important documents.

To the maximum extent permitted by law, Stndby's total liability to you for any claim arising out of or related to these terms or the service is limited to the fees you paid to Stndby in the 12 months before the claim arose.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if we were advised of the possibility of such damages.

Some jurisdictions do not allow certain liability limitations, so these limitations may not apply to you in full.

These terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles. Any disputes arising from these terms or your use of Stndby will be resolved in the state or federal courts located in Massachusetts, and you consent to personal jurisdiction in those courts.

We may update these terms from time to time. When we do, we will update the "Last updated" date at the top. If the changes are material, we will notify you through the app or by other means before they take effect.

Continuing to use Stndby after updated terms are posted means you accept the new terms.
